Broadcom Reportedly Pursuing 'Cash Cow' VMware For Acquisition (Channel Futures)

Bloomberg on Sunday evening reported that chipmaker Broadcom has entered discussions with VMware leaders around buying the software provider. The potential deal ...

“I don’t see Broadcom as a leader in the integration of the software and hardware needed. VMware has the ability to do this, but unlike vendors like IBM that have been reinventing themselves for decades, this is VMware for the first time facing a market where it is the legacy technology.” I don’t see the addressable market in a term that investors will be happy. VMware has a current market cap of $40.3 billion and is trading at 10X EBITDA, which is lower than Broadcom’s at 12X,” Agrawal told Channel Futures. “Regardless, Project Monterey, a re-architecture of VCF [VMware Cloud Foundation] from the hardware up to support all new requirements of modern applications, announced by VMware in September 2020, is attractive to Broadcom. It can augment the role of data processing units to improve efficiencies for AI/ML workloads.” “[CEO] Hock Tan is a business genius, and this would be a huge chess move. And yes … Broadcom would be infrastructure for supercloud providing Nitro-like capabilities for all,” Vellante wrote on Twitter. It has already acquired CA and Symantec. VMware market cap is down 18%-19% this year and hence becomes a great acquisition target. VMware are re-inventing themselves, but mainly for existing customers; the new customers entering the cloud-native, and soon WebAssembly app development market will not care about the legacy virtual machines. “I would see this as Broadcom acquiring a cash cow in VMware, but beyond that am struggling to see any real synergies. Bernstein analysts told clients that the deal would triple Broadcom’s software business and make software account for one-half of the company. Bloomberg lists VMware’s market valuation at approximately $40 billion and infers that a deal price would likely exceed such a number. The potential deal would drastically expand Broadcom’s software play.

VMware Partners To Broadcom: 'Don't Screw VMware Up' (CRN)

VMware partners weigh-in on Broadcom acquisition, saying the software and cloud company needs to keep its channel partnerships intact if the semiconductor ...

When Dell was the primary owner, you had to work with them. Last July, the deal ultimately fell through due to reports of SAS Institute’s co-founders changing their minds. Everyone always thought VMware was going to go standalone, either separate itself as a public company or have a bunch of private equities buy it out,” said one sales leader from a VMware partner who did not wish to be identified. “Broadcom will need to make sure that it keeps [VMware’s] partner business intact. When EMC was the primary owner, you had to work with them. However, Broadcom’s stock is down 3 percent today, trading around $526 per share as of Monday afternoon. VMware was recently spun out of Dell Technologies in November, becoming an independent company for the first since 2004. VMware’s stock is up 21 percent as of Monday afternoon, trading at $115.81 per share. … Partners need to be able to work with VMware more than ever. “It’s a pretty simple message really: don’t screw VMware up by forgetting about the partners. “I don’t think there’s many channel partners that make any of CRN’s solution provider lists who isn’t a VMware partner,” said the executive. “Partners are going to have to work with VMware regardless.

VMware may be Broadcom's next acquisition target (TechTarget)

Broadcom continues its hunt through the enterprise software market, this time negotiating to acquire virtualization giant VMware, reports say.

"The deal is appraised at somewhere in the $40 billion, but you could easily see a premium of 20% added. Sources cited in Bloomberg's report said news of the deal could be made at that time. "If this comes to pass it would be a strange exit for VMware," said Gary Chen, research director of IDC's Software Defined Compute practice. EMC sold part of its stake in the company via an IPO in 2007. Founded in 1998, the company was acquired by EMC Corp in 2004. According to a Bloomberg News report citing unnamed sources, "discussions are ongoing with no guarantee they will lead to an agreement."

“If it’s an economic deal just to route the dollars and cents, then it’s not a good answer... “There’s the hope that Broadcom plus VMware will lead to some Apple M1-type system-on-a-chip integration for edge uses,” Townsend said. “Broadcom does have an approach with acquisitions that won’t always make the innovators happy, but the strategy thus far has worked—especially for shareholders.” Intel and VMware integrate their hardware and software to create what Intel calls a cloud-networking fabric, and Gelsinger said that if the deal goes through he hopes the goal is to promote innovation. Its new technology developments would be in the making but how soon they might be realized is unknown. Dell Technologies owned VMware until it spun out on its own in 2021, and Michael Dell still owns 40% of VMware stock.
